1. Services Provided

DevOrbits provides custom software engineering, web design, digital marketing, and related technology consulting services. Detailed scopes of work, deliverables, timelines, and milestones for specific projects are outlined in individual service agreements, proposals, or Statements of Work (SOW) executed between DevOrbits and the client.

2. Client Responsibilities & Content

• Information & Access: You agree to provide accurate, complete, and timely assets, credentials, copy, and approvals necessary for project execution.
• Content Rights: You represent and warrant that all content, logos, images, trademarked materials, and text provided to DevOrbits for inclusion in your project belong to you or that you have full authorization to use them.

3. Intellectual Property Rights

• Client Materials: Clients retain full ownership of all proprietary data, branding, and content supplied to DevOrbits.
• Final Deliverables: Upon full and final payment of all project fees, ownership of the completed custom deliverables (source code, custom themes, assets) is transferred to the client, excluding any third-party plugins, frameworks, open-source libraries, or pre-existing DevOrbits tools.
• DevOrbits Rights: DevOrbits retains ownership of all pre-existing tools, proprietary frameworks, code snippets, and methodologies used during service delivery.
• Portfolio Rights: Unless explicitly agreed upon in a non-disclosure agreement (NDA), DevOrbits reserves the right to showcase completed projects, screenshots, and non-sensitive project descriptions in its portfolio, case studies, and marketing channels.

4. Payment Terms & Billing

• Fees & Invoicing: Fees for services are set forth in the individual project proposal or SOW.
• Deposits & Milestones: Unless specified otherwise, web development and custom software projects require an upfront deposit prior to commencement, with remaining balances due upon milestone completions or final sign-off.
• Late Payments: Outstanding balances past due dates may incur interest charges or result in temporary suspension of project development, hosting, or ongoing support services until full payment is received.

5. Third-Party Products & Services

Our services may integrate with or rely on third-party products, themes, hosting providers, APIs, or software licenses (e.g., WooCommerce, Shopify, Google Cloud, WordPress plugins). DevOrbits is not responsible for third-party service outages, price changes, API deprecations, or policy updates beyond our direct control.

6. Warranties & Limitation of Liability

• Service Quality: DevOrbits strives to deliver high-quality, fully responsive, and secure software solutions according to current industry standards.
• Warranty Period: Unless otherwise specified in writing, we provide a standard bug-fix warranty on custom development for a designated period post-launch to address defects relative to agreed specifications.
• Disclaimer: Services are provided "as is" and "as available" without warranties of any kind, express or implied, beyond what is explicitly stated in a signed service agreement.
• Limitation of Liability: To the maximum extent permitted by applicable law, DevOrbits shall not be held liable for indirect, incidental, consequential, or punitive damages, loss of profits, loss of data, or operational downtime resulting from site usage, third-party software breaches, or delayed client approvals.

7. Termination

Either party may terminate a project agreement in accordance with the terms outlined in the specific SOW. In the event of early termination by the client, DevOrbits shall be compensated for all hours worked and costs incurred up to the effective termination date.

8. Governing Law

These Terms shall be governed by and construed in accordance with applicable legal frameworks. Any disputes arising under or in connection with these Terms shall be resolved through good-faith negotiation or through appropriate legal venues.
